Terms of Use
The terms this site, its quotations and the work arranged from it are governed by.
Acceptance
Submission of a request through cmmcalibrationmemphis.com, the quotation that follows it, and the CMM Calibration and Repair and related work performed through this site are all governed by these terms. Submitting a request or accepting the resulting quotation counts as acceptance of them. A signed supply agreement or agreed purchase-order terms already on file take precedence over these terms, to the extent of any conflict.

Review Before Quotation
Review of the request happens first, before a quotation is issued, and it confirms three things: that the requirement is stated clearly and understood, that the method, range and measurement capability needed are available, and that the laboratory selected to carry out the work is competent to perform it.
Where a statement of conformity is required, the decision rule to be applied is agreed in writing before work begins, as is the specification the item is to be assessed against. Any requirement that changes after acceptance is reviewed again and confirmed to the customer before work continues. Any request that cannot be met as specified is either declined or returned with an alternative scope; it is not accepted and quietly reduced.
Externally Provided Services
All technical work named on this site is externally provided. Memphis CMM Calibration and Repair operates cmmcalibrationmemphis.com as a marketing and referral website; it is not itself a calibration laboratory and does not perform the measurements this site names. Requests made here go to external laboratories that hold their own accreditation, operate their own quality management systems, and issue their own certificates and reports.
A provider earns the work against stated criteria: current accreditation and its scope, demonstrated capability for the specific measurement requested, traceability arrangements, and a record of on-time delivery. Performance is monitored on an ongoing basis, and a provider that no longer meets those criteria is not used. Where a customer specifies that work must not be subcontracted, that instruction is honored, or the request is declined.
Payment is received by the operator of this website in connection with that introduction. It may be a referral fee, a fixed fee for the use of this website, or a commission on work that is placed; whichever applies, the quoted price does not change. The arrangement confers no role in performing, approving or certifying any measurement.
Quotations and Validity
Every quotation goes out in writing. Validity is thirty (30) days from the date of issue, unless the quotation names a different period. The figures in it come from the item description, quantity, measurement points, tolerances and turnaround supplied with the request.
Where the item received is not the item described — extra channels, a wider range, damage, or a condition needing repair before measurement is possible — work is held while a revised quotation is issued. Nothing proceeds until that revision has been approved in writing.
Lead Times
Business days are how turnaround is quoted, and it runs from receipt of the item or receipt of written approval to proceed, whichever is later. Expedited handling is possible where capacity allows and is quoted separately. Every turnaround commitment is given in good faith against current capacity; if it cannot be met, notice is given as soon as the delay is known, stating a revised date.
Items, Handling and Risk
Ship items in protective packaging adequate for transit, and include any accessories, fixtures, cables or software needed to complete the work. Transit risk in both directions rests with the customer, unless carriage has been arranged and charged on the quotation.
Items that are unsafe or contaminated, and items outside the condition accepted at review, are returned unworked with the reason stated. After the collection or despatch period agreed on the quotation, a completed item is held at the customer's risk.
Payment and Credit
Release of certificates and items follows payment in full, except on a credit account approved in advance, where invoices are payable net thirty (30) days from the date of invoice.
Taxes, duties and carriage are excluded from prices unless the quotation states otherwise. Where a balance is overdue, interest may accrue at the lower of one and one-half percent (1.5%) per month or the maximum permitted by law, and further work may be suspended for as long as the account remains overdue.
Certificates and Records
The laboratory that performed the work issues the certificate or report, and it remains that laboratory's technical record. Payment in full gives the customer an unrestricted right to keep, copy and use the certificate for its own quality, audit and regulatory purposes.
Certificates are complete documents, and reproduction is in full or not at all — partial reproduction requires written approval. The performing laboratory retains copies for the period stated in its records policy, and a reissue is made against the original certificate number.
Confidentiality
Information obtained or created in the course of a request is confidential, and that covers drawings, specifications, tolerances, measurement results and the existence of the engagement itself. Only the personnel and providers who need it to complete the work are given it. Disclosure required by law is made, as is disclosure to an accreditation body exercising its rights of access, and the customer is notified of a legally required disclosure unless that notification is itself prohibited.
Limitation of Liability
The standard of performance is reasonable skill and care, in accordance with the methods and standards stated on the quotation and on the resulting certificate. Defective work is remedied by re-performance of the affected work or by a refund of the amount paid for it, whichever the customer elects.
Liability is capped. To the maximum extent permitted by law, total liability arising out of any engagement is limited to the amount paid for the work giving rise to the claim, and loss of profit, loss of production, loss of contract and any indirect or consequential loss are excluded. Nothing here limits liability that cannot be limited by law.
Jurisdiction and Changes
The laws of Tennessee govern these terms, without regard to conflict-of-law principles. Claims are brought in the courts of that jurisdiction unless a different forum has been agreed in writing.
Revision is possible. Whichever version is published at cmmcalibrationmemphis.com on the date a quotation is issued is the version that applies to that engagement. The privacy notice, the notices and disclaimer and the complaints handling policy carry the related terms.
